Terms of Service

1. Acceptance of Terms

By accessing or using the Valency platform (“Service”), operated by Valency (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Valency provides AI-powered access to academic research papers via the Model Context Protocol (MCP). The Service includes APIs, web interfaces, and integrations with third-party AI tools.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Account Registration

To access certain features, you must create an account using an invite code or bearer token. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Redistribute, resell, or sublicense access to the Service without permission
• Use automated means to scrape or bulk-download content beyond normal API usage

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Valency and are protected by copyright, trademark, and other intellectual property laws. Research content accessed through the Service is subject to the terms and licenses of its original publishers.

7. API Usage and Rate Limits

API access is subject to rate limits and usage quotas as determined by your account tier. We reserve the right to throttle or suspend access for excessive or abusive usage.

8. Early Access / Beta

The Service is currently in early access. Features may change, be removed, or become unavailable without notice. We provide the Service “as is” during this period and appreciate your feedback at feedback.valency.io.

9. Confidentiality

As an early access participant, you agree to treat platform behavior, outputs, and capabilities as confidential and not share screenshots, results, or impressions publicly until a broader release.

10. Limitation of Liability

To the fullest extent permitted by law, Valency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
